Normalize the earnings a buyer will inherit
Small companies are often valued from seller’s discretionary earnings or EBITDA, depending on their size and management structure. Begin with reported profit, then evaluate owner compensation, personal expenses, unusual items, and costs a buyer must add back into the business.
Normalization should produce a realistic estimate of ongoing earnings under new ownership. Aggressive add-backs make a business look cheaper without making it more valuable.
Use comparable multiples with context
Market multiples can provide a range by comparing similar businesses, but the headline industry average is only a starting point. Size, recurring revenue, growth, margins, customer concentration, owner dependence, and record quality all influence where a company belongs within that range.
Compare businesses with similar economics and transaction conditions. A strategic buyer paying for synergies may support a price that an individual operator cannot justify from standalone cash flow.

Check the value against cash flow and assets
A buyer should model debt service, taxes, working capital, necessary reinvestment, and a reasonable operating salary. The offer must leave enough cash for the company to remain healthy under conservative assumptions.
Asset value may set an important reference for equipment-heavy or underperforming businesses. For software and service companies, customer relationships, brand, systems, data, and intellectual property may matter more, but their transferability must be verified.
Price and structure work together
Two offers with the same stated price can carry very different risk. Cash at close, seller notes, holdbacks, earnouts, working-capital targets, and transition commitments change the economic value for both buyer and seller.
A defensible valuation explains the earnings base, chosen multiple, risk adjustments, and financing capacity. It should remain understandable when optimism is removed from the forecast.
